These Terms & Conditions (“Terms”) govern access to and use of flippay.io, the FlipPay merchant platform, shopper reward experiences, APIs, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

If you are entering into these Terms on behalf of a company, you represent that you are authorized to bind that company. If you do not agree, do not use the Services.

1) Key definitions

  • FlipPay, “we,” “us,” “our”: the provider of the Services.
  • Merchant: a brand, store, or partner using FlipPay to run promotions or loyalty programs.
  • Shopper: an end-customer who receives a FlipPay reward or participates in a promotion.
  • Collectible: a digital reward (e.g., artwork/token) issued via FlipPay.
  • Official Rules: campaign-specific terms for promotions, sweepstakes, or instant-win rewards.
  • DPA: the Data Processing Addendum available on request at flippay.io/legal/dpa.

2) Changes

We may update these Terms from time to time. The “Effective date” shows the latest version. Material changes will be notified in-product or by email. Continued use constitutes acceptance.

3) Eligibility

You must be at least the age of majority in your jurisdiction (or have parental consent where permitted) and legally able to enter contracts. Merchants must comply with applicable laws where they run promotions.

4) Accounts & security

You are responsible for your account credentials, users, and permissions. Notify security@flippay.io of any suspected unauthorized access. We may suspend accounts to protect the Services or comply with law.

5) Merchant plans, fees, and taxes

  • Plans & billing. Paid features are charged per the plan you select. Fees are non-refundable unless required by law.
  • Renewal. Subscriptions renew automatically for the same term unless cancelled before the next billing cycle.
  • Cancellation. You may cancel at any time; access continues until period end.
  • Taxes. Fees exclude taxes; you are responsible for applicable taxes.
  • Late payment. We may suspend Service for unpaid invoices.

(For negotiated contracts, fee terms in your order form or MSA prevail.)

6) Promotions, prizes, and collectibles

  • Trade promotions. FlipPay powers trade promotions and loyalty programs. Promotions must follow Official Rules (including AMOE, odds disclosures, eligibility, and required registrations/bonding where applicable).
  • Merchant responsibilities. Merchants are responsible for: campaign configuration, prize budgeting/fulfilment, eligibility/geo gating, and ensuring the promotion is lawful in each target jurisdiction. FlipPay provides tools and templates but does not provide legal advice.
  • Collectibles. Unless expressly stated, collectibles have no cash value, are for entertainment/loyalty use, and are not securities or financial instruments.
  • Wallets & blockchain. FlipPay may issue rewards to a custodial wallet or to a self-custody wallet you connect. Some on-chain records are public and cannot be altered.
  • Abuse & fairness. We may void or limit entries/prizes for fraud, bots, or abuse (e.g., duplicate accounts, circumvention).

7) Acceptable use

You will not: (a) misuse the Services, (b) reverse engineer, copy, or resell them, (c) interfere with security or access controls, (d) use the Services for gambling or unlawful activity, (e) violate third-party rights or platform policies (e.g., Shopify), or (f) mislead Shoppers about odds, eligibility, or value.

8) Intellectual property

The Services, software, documentation, and content are owned by FlipPay and its licensors. Subject to these Terms and your paid plan (if any), we grant you a limited, non-exclusive, non-transferable license to use the Services. You grant FlipPay a license to use your trademarks and campaign assets solely to operate your promotions and for reasonable marketing (e.g., case studies) unless you opt out in writing.


9) Data & privacy

Our Privacy Notice (at flippay.io/privacy) describes how we collect and use data.

  • Roles. For Merchant-provided order data we typically act as processor/service provider; for shopper accounts, wallets, our website, and support we act as controller/business.
  • DPA. If required, the DPA governs controller–processor terms.
  • Compliance. You must provide required notices/consents to your Shoppers and configure lawful use of FlipPay.

10) Third-party services

The Services may integrate with third parties (e.g., ecommerce platforms, email/SMS providers). Your use of such services is governed by their terms. We are not responsible for third-party services.

11) Beta, trial, and free features

Beta and trial features are provided as-is, may change or end at any time, and may be subject to additional terms. Usage limits and fair-use controls may apply.

12) Availability & support

We strive for high availability but do not guarantee uninterrupted Service. Maintenance windows or third-party outages may affect availability. For enterprise plans, any SLA in your order form controls.

13) Disclaimers

To the maximum extent permitted by law, the Services and all content are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory (including merchantability, fitness for a particular purpose, and non-infringement). FlipPay does not guarantee any specific conversion or revenue outcomes.

14) Limitation of liability

To the maximum extent permitted by law:

  • FlipPay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or business interruption.
  • FlipPay’s total liability arising out of or related to the Services is limited to the amounts paid by the Merchant to FlipPay in the 12 months before the event giving rise to the claim (or USD $100 for non-paying users).
  • These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose.

15) Indemnification

You will defend, indemnify, and hold harmless FlipPay from claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your (or your users’) use of the Services, your promotions, your content, or your violation of these Terms or applicable law.

16) Suspension & termination

We may suspend or terminate access immediately for material breach, security risk, fraud, non-payment, or legal compliance. Upon termination, your right to use the Services ceases, but sections intended to survive (e.g., IP, fees, disclaimers, limits of liability, indemnity) will remain in effect.

17) Export & sanctions

You will comply with export control, sanctions, and embargo laws. You may not use the Services if you are located in, or are a resident of, a restricted territory or are an excluded party under applicable sanctions lists.

18) Governing law & disputes

These Terms are governed by the laws of [USA], excluding its conflicts of laws rules. The courts located in [USA] shall have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. If you are a consumer, mandatory local laws may provide you additional rights.

Legal notices to FlipPay may be sent to legal@flippay.io We may provide notices via email, dashboard, or by posting on flippay.io.

20) General

  • Assignment. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger or sale.
  • Entire agreement. These Terms, any order form, Official Rules, and (if applicable) the DPA constitute the entire agreement.
  • Order of precedence. If there is a conflict: Order Form/MSA → DPA → these Terms → documentation.
  • Severability & waiver. If a provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
